  • Institutional Clients (colleges, universities, and other organizations using the Services for financial aid administration), and

  • Individual Users (students or applicants who access financial aid tools or information through our platform).

3. Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You must not:

  • Misuse or interfere with the security of the platform.

  • Attempt to gain unauthorized access to data, accounts, or systems.

  • Use the Services for fraudulent, misleading, or harmful activities.

SoundGen Financial reserves the right to suspend or terminate access for any user or institution that violates these Terms.

4. Accounts and Registration

Certain features of the Services may require you to register for an account. You agree to:

  • Provide accurate and complete information.

  • Maintain the security of your login credentials.

  • Notify us immediately of any unauthorized access or security breach. You are responsible for all activities that occur under your account.

5. Institutional Billing and Payments

SoundGen Financial’s Services are billed to institutional clients (colleges and universities) under separate agreements.

  • Students are not charged any fees for accessing or using the platform.

  • Institutions agree to pay all fees in accordance with their contract or invoice terms.

  • Late payments may result in suspension of Services until payment is received. SoundGen Financial reserves the right to modify pricing or billing terms with reasonable prior notice to institutional clients.

6. Intellectual Property

All content, features, and functionality on the Services — including software, text, graphics, logos, and design — are owned by or licensed to SoundGen Financial and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.

7. Data and Privacy

  • Our total liability for any claim related to your use of the Services will not exceed the amount paid (if any) by the institution for the Services during the 12 months preceding the claim.

You agree to defend, indemnify, and hold harmless SoundGen Financial, its affiliates, and its employees from any claims, damages, or liabilities arising from:

  • Your misuse of the Services,

  • Violation of these Terms, or

  • Infringement of third-party rights.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or applicable law. You may stop using the Services at any time. Termination does not affect payment obligations or rights accrued before the date of termination.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed under the laws of the State of Washington, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Thurston County, Washington, and you consent to the jurisdiction of those courts.

We may update these Terms from time to time. Updates will be effective upon posting to our website with a new “Last Updated” date. Continued use of the Services constitutes acceptance of the revised Terms.
